Indemnity Agreement

This indemnity agreement is made this day (see above date) in the City of Bay city, County of Matagorda, State of Texas, between (see above) of address (see above), State of Texas, hereinafter called Indemnitor, and the Bay City Gun Club, Inc., a Texas non-profit corporation, whose address is P.O. Box 84, Bay City, TX 77404-0084, Matagorda County, Texas, hereinafter called Indemnitee. Indemnitee, the Bay City Gun Club, Inc., presently operates a facility known as the Bay City Gun Club located approximately three (3) miles west of the City of Markham, on FM 2431. This facility consists of a trap, skeet and country doubles range as well as a rifle and pistol range. Various members of the Bay City Gun Club, Inc. are allowed to come onto the above facility for the purpose of shooting various firearms, including shotguns, rifles, and pistols. In consideration of the Bay City Gun Club, Inc.’s providing of the facility and the right of Indemnitor to enter onto the facility for the purpose of shooting firearms, the parties agree as follows:

Indemnitor hereby agrees to indemnify Indemnitee, Bay City Gun Club, Inc., from any and all liability, claims, loss or damage Indemnitee may suffer as a result of claims, actions, suits, demands, costs or judgments brought by or obtained on behalf of Indemnitor and/or his/her guests, against Indemnitee arising out of the use, maintenance and/or operation of the facility known as the Bay City Gun Club, Inc.

This indemnity will extend from the date of execution until said indemnity is revoked in writing by Indemnitor and filed with the Secretary-Treasurer of the Bay City Gun Club, Inc It will be considered to be continuing indemnity and will be in existence so long as the Indemnitor is a member of the Bay City Gun Club, Inc. and for any period of time that the Indemnitor may be on the facility of the Bay City Gun Club, Inc. after such membership has ceased to exist or during such period as such membership may be renewed from time to time.

Should it become necessary for the purposes of resisting, adjusting, compromising a claim or demands arising out of the indemnification, Indemnitor agrees to reimburse Indemnitee for such expenses, including attorney fees and costs, within 30 days after receiving written notice from Indemnitee of the occurrence of such expenses, attorney fees, costs or obligations.

The terms of this indemnity agreement shall bind and inure the benefits of the parties, their heirs, legal representatives, successors, and assigns. Executed this _____day of ____________, 2008.
